Terms of Service

1. Acceptance of Terms
By accessing or using RentPorter ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service. RentPorter is provided by Winsome Ventures LLC ("Company," "we," "us," or "our").
2. Service Description
RentPorter is an AI-powered SMS triage system designed to help independent landlords manage and categorize tenant maintenance requests. The Service:
- Receives SMS messages from your tenants via Twilio
- Uses Claude AI (Anthropic) to analyze and categorize maintenance requests
- Provides you with organized, prioritized maintenance request information
- Helps you dispatch requests to vendors or track them internally
RentPorter is a software-as-a-service (SaaS) platform offered on a subscription basis. It is currently in beta and available free of charge. Paid subscription plans will launch in the future.
3. Beta Service Disclaimer
RentPorter is currently in beta. This means:
- The Service is still under development and may contain bugs, errors, or incomplete features
- Features, functionality, and pricing may change without notice
- We are not responsible for data loss, service interruptions, or inaccurate AI categorization during beta
- We may modify, suspend, or discontinue the Service at any time
- Performance, uptime, and reliability are not guaranteed
Your use of RentPorter during beta constitutes your acknowledgment of these limitations.
4. Account Registration and Responsibilities
To use RentPorter, you must create an account by providing:
- Your name and email address
- A password
- Your phone number and property information
You are responsible for:
- Maintaining the confidentiality of your password and account credentials
- Notifying us immediately if your account is compromised or used without authorization
- Ensuring that information you provide is accurate and up-to-date
- Complying with all laws and regulations governing rental properties in your jurisdiction
5. Acceptable Use Policy
You agree not to use RentPorter to:
- Violate any applicable laws, regulations, or rights of third parties
- Harass, threaten, abuse, or defame any person
- Transmit malware, viruses, or malicious code
- Attempt to gain unauthorized access to the Service or its infrastructure
- Reverse-engineer, decompile, or attempt to discover the source code of RentPorter
- Use the Service for commercial purposes without authorization (reselling, white-labeling, etc.)
- Automate access to the Service without explicit permission
- Interfere with or disrupt the operation of the Service or its servers
- Scrape or extract data from the Service for competitive purposes
- Use the Service to impersonate another person or misrepresent your identity
Violation of this policy may result in immediate suspension or termination of your account without refund.
6. SMS Consent and Tenant Communication
By using RentPorter, you acknowledge and agree that:
- You are responsible for obtaining all necessary consent from your tenants before their phone numbers and SMS messages are processed through RentPorter
- You will provide tenants with notice that their maintenance requests will be processed by AI and stored
- You will direct tenants to our Privacy Policy for information about how their data is handled
- You comply with all federal, state, and local laws governing SMS communications, including the Telephone Consumer Protection Act (TCPA)
We recommend including language in your lease agreements and tenant communications that clearly states maintenance requests will be processed through an AI triage system. See our SMS Consent page for template language you may use.
7. Intellectual Property Rights
RentPorter and all content provided by us (software, platform, documentation, designs) are owned by Winsome Ventures LLC and protected by copyright, trademark, and other intellectual property laws.
You are granted a limited, non-exclusive, non-transferable license to use RentPorter solely for your internal property management purposes. You do not have the right to:
- Modify or create derivative works
- Sell, sublicense, or distribute access to the Service
- Use the Service to provide services to third parties
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
Disclaimer: RentPorter is provided "AS IS" without warranties of any kind, express or implied. We make no warranty that the Service will be uninterrupted, error-free, or that AI categorization will be accurate or complete.
No Liability: In no event shall RentPorter or Winsome Ventures LLC be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost revenue, or lost data, even if advised of the possibility of such damages.
Liability Cap: Our total liability for any claim arising from this Agreement shall not exceed the amount paid by you to RentPorter in the 12 months preceding the claim (or $100, whichever is greater).
Business Use: RentPorter is for business use. If you rely on the Service for critical operations, you do so at your own risk. We strongly recommend maintaining alternative systems for property management and maintenance tracking.
9. Service Availability and Uptime
Because RentPorter is in beta:
- We do not guarantee any specific uptime percentage or service availability
- The Service may be unavailable for maintenance, updates, or other reasons without advance notice
- We are not liable for any damages or losses resulting from service interruptions
- We may suspend the Service at any time if we determine it poses a security or legal risk
Once RentPorter moves out of beta and into paid service, we will provide a Service Level Agreement (SLA) outlining availability guarantees.
10. Data and Backup Responsibility
While we take reasonable steps to protect your data:
- You are responsible for maintaining your own backups of critical data
- We are not liable for data loss due to user error, account deletion, or service termination
- You acknowledge that deleted data may persist in backups for up to 90 days
We recommend exporting your data regularly if you store important information in RentPorter.
11. Termination
By You: You may terminate your RentPorter account at any time by visiting your account settings or contacting us at winsome.ventures.re@gmail.com. Upon termination, we will delete your personal information within 30 days, though message backups may persist for up to 90 days.
By Us: We may suspend or terminate your account immediately if:
- You violate these Terms or our Acceptable Use Policy
- Your account is used for illegal activities
- We determine the Service poses a security or legal risk
- We discontinue the Service entirely
Termination does not relieve you of any obligations incurred prior to termination.
12. Changes to These Terms
We may modify these Terms at any time. Material changes will be communicated to you via email or by posting a notice on the Service. Your continued use of RentPorter after such changes constitutes your acceptance of the updated Terms. If you do not agree to the changes, you must discontinue use of the Service.
13. Governing Law and Dispute Resolution
These Terms are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.
Informal Resolution: If you have a dispute with RentPorter, we encourage you to contact us first at winsome.ventures.re@gmail.com to attempt to resolve the issue informally.
Jurisdiction: You agree that any legal action or proceeding arising from these Terms shall be brought exclusively in the courts located in New York County, New York, and you hereby consent to the personal jurisdiction and venue of such courts.
14. Legal Compliance
You are solely responsible for ensuring your use of RentPorter complies with all applicable laws and regulations, including but not limited to:
- Fair Housing Act and state fair housing laws
- Telephone Consumer Protection Act (TCPA) and state telemarketing laws
- State and local rental housing laws and tenant protections
- Data privacy laws (GDPR, CCPA, and state privacy laws if applicable)
- Consumer protection regulations
We recommend consulting with a lawyer familiar with rental housing and telecommunications law in your jurisdiction before using RentPorter with tenants.
15. Severability
If any provision of these Terms is found to be invalid or unenforceable, that provision shall be removed, and the remaining provisions shall continue in full force and effect.
16. Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and RentPorter regarding the Service and supersede all prior agreements, understandings, and negotiations. In the event of a conflict between these Terms and the Privacy Policy, the Privacy Policy shall govern matters related to data handling.
